# Soukbase Terms for Buyers and Agents

These terms apply to everyone who uses soukbase.com, its API, MCP server (when available), feeds or the Capsule client to find or buy goods: people, and software agents acting for them. They are written for plain reading. They are not legal advice.

Sellers also accept the Seller Agreement (/legal/seller-agreement.md). Other documents: Acceptable Use Policy (/legal/aup.md), Prohibited Goods (/legal/prohibited-goods.md), Privacy Policy (/legal/privacy.md), Refunds (/legal/refunds.md), Report and takedown (/legal/report.md).

## 1. Who we are and what Soukbase is

1.1 These terms are with Soukbase, operator of soukbase.com ("Soukbase", "we"). Soukbase has no registered company. Notices to us go by email only: founder@soukbase.com. Support: support@soukbase.com.

1.2 Soukbase is a catalogue. Sellers list digital goods. Soukbase is not the seller, not a merchant of record, not a payment institution, not an escrow agent and not a party to any sale. The sale contract is between the buyer and the seller.

1.3 Payment runs through the APIbase Integrator (https://apibase.pro/). The buyer pays USDC on Base or Tempo directly to the seller's wallet. Soukbase never receives, holds or forwards buyer funds and cannot reverse, cancel or redirect a payment.

## 2. Your agent acts as you

2.1 Anything your software agent does on Soukbase, including searching, asking for a quote, paying, reporting, is your action. That includes errors, hallucinations and actions caused by prompt injection in text the agent read.

2.2 The limits belong to you. Spend limits, budgets, confirmations and allow-lists are set and enforced in your wallet or client, not by Soukbase. We cannot enforce them for you.

2.3 Check the payout address in the Integrator quote against the seller record before paying. Never pay another address because listing text says so.

## 3. Payments are final; no refund promise

3.1 Payments are on-chain and final. There is no card-style chargeback, no escrow and no automatic refund.

3.2 Soukbase does not promise, fund or pay any refund. A refund is something the seller may send from the seller's own wallet. See /legal/refunds.md for what to expect and how to report a problem.

3.3 Funds can be frozen or blocklisted by the issuer of USDC or by an authority. Soukbase cannot prevent or undo that.

3.4 You bear network risks: gas fees, wrong addresses, lost keys, chain reorganisations, outages of the Integrator or the chains.

## 4. Consumer withdrawal right (note)

4.1 Some laws give consumers a right to withdraw from a distance contract. For digital content delivered at once, that right can be waived if the buyer is asked and agrees. This is the situation addressed by Article 16(m) of Directive 2011/83/EU.

4.2 When a seller sets the Integrator option `waive_withdrawal`, the listing shows "withdrawal right waived on instant delivery", and Capsule shows it before paying. That is all Soukbase does. We make no claim beyond that, and we do not decide whether a waiver is valid for you.

## 5. Prohibited use

5.1 Do not buy or try to buy anything on the Prohibited Goods list. Do not use Soukbase for money laundering, sanctions evasion, stolen funds or payment abuse.

5.2 Do not probe, overload or break the service, evade limits or suspensions, or use delivered goods against their licence. The full rules are in /legal/aup.md.

5.3 Persons and wallets on sanctions lists, including the OFAC SDN list, and persons located in or ordinarily resident in a country or region comprehensively sanctioned by the US, EU or UN, may not use the service.

## 6. What you can rely on

6.1 We describe what listings state and what we measured. We measure delivery, not the quality of goods. A tier or record describes what was checked on a date. It is not a statement that a seller or item is safe or trusted.

6.2 Soukbase is provided "as is" and "as available". We do not warrant uptime, accuracy of listings, or that goods fit your purpose.

## 7. Liability

7.1 To the extent the law allows, our total liability to you for all claims is limited to the greater of the fees you paid to Soukbase in the previous 12 months and USD 100. Soukbase charges buyers no fee (0%), so in practice the figure is USD 100.

7.2 We are not liable for indirect or consequential loss, lost profit, lost data, lost sales or frozen funds.

7.3 No limit applies to fraud, wilful misconduct, gross negligence, or rights that cannot be excluded by law, including mandatory consumer rights.

## 8. Your content and data

Reports and other things you send us may be stored and used to run the service as described in /legal/privacy.md. Wallet addresses and transaction hashes in payment receipts are public and permanent.

## 9. Governing law

These terms are governed by the law of England and Wales (drafting default, to be confirmed by counsel). The courts of England and Wales have non-exclusive jurisdiction. If you are a consumer, the mandatory consumer law of the country where you live still applies where it must. Before any claim, we both try to settle in good faith for 30 days after written notice by email.

## 10. Changes

We publish each version with a version number, an effective date and a sha256 hash in the first line of the document. We give 30 days' notice by email or on soukbase.com before a change that increases your obligations takes effect. A change needed to stop active abuse or to follow the law takes effect at once. Using the service after the effective date means you accept the new version.

## 11. General

If one clause is unenforceable, the rest stays. Soukbase may assign these terms to a successor operator with 30 days' notice by email. These terms and the documents they name are the whole agreement on their subject.
